Acceptance of Terms

By accessing or using the website and services of Friesian Technologies ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our services.

Service-Specific Terms: Certain services (NOC monitoring, managed security, HIPAA compliance) may be governed by separate Master Service Agreements (MSAs) and Statements of Work (SOWs) that supersede these general terms where conflicting.

Description of Services

Friesian Technologies provides enterprise IT infrastructure services including but not limited to:

  • Network design, deployment, and management
  • Managed optical fiber network services
  • 24/7 Network Operations Center (NOC) monitoring
  • Cybersecurity solutions and managed firewall services
  • Security audits and HIPAA compliance consulting
  • Data backup, recovery, and disaster recovery planning
  • Managed Security Service Provider (MSSP) offerings
  • Data center services and cloud migration
  • Microsoft ecosystem implementation and management
  • IT hardware procurement and sales
  • Staff augmentation and project management

User Obligations

3.1 Account Security

You are responsible for maintaining the confidentiality of account credentials and for all activities occurring under your account. You must immediately notify us of any unauthorized use or security breach.

3.2 Acceptable Use

You agree not to:

  • Use our services for any illegal, harmful, or fraudulent purposes
  • Attempt to breach security measures or probe for vulnerabilities without authorization
  • Interfere with other users' access or the stability of our infrastructure
  • Upload malware, viruses, or malicious code
  • Violate applicable laws, regulations, or industry standards (including HIPAA, PCI-DSS)
  • Reverse engineer or attempt to extract source code from proprietary systems

3.3 Data Accuracy

You warrant that all information provided to us is accurate, current, and complete. Inaccurate information may result in service delays or termination.

Intellectual Property

4.1 Our Rights

All content, software, methodologies, documentation, and deliverables provided by Friesian Technologies remain our exclusive property or that of our licensors. This includes proprietary network architectures, security frameworks, and monitoring tools.

4.2 Client Data

You retain ownership of your data. By using our services, you grant us a limited license to access, process, and store your data solely to provide and improve our services.

4.3 Feedback

Any feedback or suggestions you provide may be used by us without restriction or compensation to you.

Confidentiality

Both parties agree to protect confidential information disclosed during the engagement. As an IT security provider, we maintain strict confidentiality standards and require all personnel to sign NDAs. Your network configurations, security vulnerabilities, and business data are treated as highly confidential.

Payment Terms

  • Fees are as specified in your Service Agreement or SOW
  • Payment is due within 30 days of invoice date
  • Late payments subject to 1.5% monthly service charge
  • Hardware purchases require prepayment or approved credit terms
  • All fees are non-refundable unless otherwise stated

Limitation of Liability

Important: TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRIESIAN TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claim arising from these terms or our services shall not exceed the total amount paid by you to us in the 12 months preceding the claim.

Nothing in these terms excludes or limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded by applicable law

Indemnification

You agree to indemnify, defend, and hold harmless Friesian Technologies and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of our services in violation of these terms
  • Your violation of any third-party rights
  • Your violation of applicable laws or regulations
  • Any content or data you provide to us

Termination

We may suspend or terminate your access immediately for:

  • Violation of these terms
  • Non-payment of fees
  • Conduct that jeopardizes our security or operations
  • Legal or regulatory requirements

Upon termination, all provisions that by their nature should survive termination shall continue in full force.

Service Level Agreements (SLAs)

Where applicable, specific SLAs for uptime, response times, and resolution targets are defined in separate Service Level Agreements. General availability commitments do not apply to:

  • Scheduled maintenance windows (with 48-hour notice)
  • Force majeure events
  • Client-caused issues or third-party failures
  • Emergency security patches requiring immediate deployment

Governing Law and Dispute Resolution

These terms shall be governed by the laws of India and the State of Telangana, without regard to conflict of law principles. Any disputes shall first be attempted to be resolved through good faith negotiation, followed by binding arbitration in Hyderabad under the Arbitration and Conciliation Act, 1996.

Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be notified via email or prominent website notice. Continued use of services after changes constitutes acceptance of the revised terms.

Miscellaneous

  • Entire Agreement: These terms constitute the entire agreement between you and Friesian Technologies regarding our services.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign these terms without our written consent. We may assign these terms in connection with a merger or acquisition.
  • Third-Party Beneficiaries: These terms do not confer any rights on third parties.
